Agreement Between User and Party Solutions, L.L.C.

By using the Internet Web site "Saint Louis Lawn Golf Party" (http://www.saintlouislawngolfparty.com)
( "Site")owned, operated, and published by Party Solutions, L.L.C., the User agrees to be bound by
this agreement, including the terms and conditions of use, disclosures, as well as applicable laws and regulations. This Agreement supersedes all previous representations, understandings or agreements.

Party Solutions, L.L.C.'s Reserved Rights and Copyright and Trademark Notices

Party Solutions, L.L.C. owns all rights, including copyrights, to the intellectual property, information

(and the way the information is selected and presented), method of analysis and software incorporated or presented on the Site, or has obtained the permission from those providing content presented on

the Site. The names, logos, words and phrases are trademarks of Party Solutions, L.L.C. and/or may be trademarks, service marks or trade names of Party Solutions, L.L.C. or third parties. The User

may not use, reproduce, transfer, publish, disclose or sell any portion of the Site or information contained on the Site, in violation of this Agreement or any law or regulation.

Personal and Non-Commercial Use Only

Party Solutions, L.L.C. grants User a limited, non-exclusive, non-transferrable license to use

information presented on the Site for personal and non-commercial use. The User may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from this Site.

Disclaimer of All Warranties

The information presented on the Site has been compiled from sources deemed to be reliable and

is as accurate as possible; however, Party Solutions, L.L.C. does not guarantee or warrant the quality, accuaracy, completeness, timeliness, appropriateness or suitability of any information, products or services offered on the Site and shall not be held liable for any errors or omissions in information presented on the Site. Like all web publications,

Site may be temporarily unavailable from time to time due to required maintenance, telecommunications interruptions, or other disruptions. Although Party Solutions, L.L.C. makes every reasonable effort to minimize such down time, Party Solutions, L.L.C. does not guarantee 100% availability of Saint Louis Lawn Golf Party. User Access to Site

User acknowledges and agrees that User will: (a) provide for User's own access to the World Wide

Web and pay any service fees associated with such access, and (b) provide all equipment necessary to

make connection to the World Wide Web, including a computer and modem. In consideration of use

of this service, User agrees to provide true, accurate, current and complete information about User. If any information provided by User is untrue, inaccurate, not current or incomplete, Party Solutions, L.L.C. has the right to terminate User's account and refuse any and all current or future use of this service.

User Remedy

Party Solutions L.L.C.'s entire liability and User's exclusive remedy shall be a refund of the price paid or replacement of the products delivered, at Party Solution L.L.C.'s option. Refunds or replacements are limited to 60 days. All remedies are limited to the United States.

No Unlawful Or Prohibited Use

As a condition of use of Site, User warrants to Party Solutions, L.L.C. that User will not use Site for

any purpose that is unlawful or prohibited by these terms, conditions, and notices. Transmission or storage of material in violation of federal, state or local regulation is prohibited. This includes but is

not limited to material that is copyright, judged to be threatening, compromises security or privacy,

or is protected by trade secret. Party Solutions, L.L.C. reserves the right to remove or modify, at its discretion, any material in violation of these policies. User agrees to comply with those terms and conditions, rules and restrictions required by other service providers connected directly or indirectly to Saint Louis Lawn Golf Party.This includes, but is not limited to, the Acceptable Use Policies established for Usernet and the Internet which expressly prohibits commercial solicitation. User agrees to indemnify and hold harmless Party Solutions, L.L.C. from any claims resulting from User conduct and/or use of

the Site that damages User or another party.

Modification Of These Terms And Conditions

Party Solutions, L.L.C. reserves the right to change the terms, conditions, pricing and any other information on this Site including, but not limited to, revising and/or deleting features and information without prior notice. By continuing to use this service following such modifications, User agrees to be bound by such modifications to the Agreement.

General

This Agreement is governed by the laws of the State of Missouri, U.S.A. User hereby consents to the exclusive jurisdiction and venue of courts in St. Louis County, Missouri, U.S.A. in all disputes arising

out of or relating to the use of this Site. Use of this Site is unauthorized in any jurisdiction that does

not give effect to all provisions of these terms and conditions, including without limitation this

paragraph.

User agrees that no joint venture, partnership, employment, or agency relationship exists between User and Party Solutions, L.L.C. as a result of this Agreement or use of this web site.

Party Solutions, L.L.C.'s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of Party Solutions, L.L.C.’s right to comply

with law enforcement requests or requirements relating to User's use of this Site or information provided to or gathered by Party Solutions, L.L.C. with respect to such use.

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that

most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.

This Agreement constitutes the entire Agreement between User and Party Solutions, L.L.C. with

respect to this Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between User and Party Solutions, L.L.C. with respect to Site. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent

and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Party Solutions, L.L.C. reserves all rights not expressly granted to User.

Software Available On This Site

Software (if any) that is made available to down load from this Site ("Software")is the copyright work of Party Solutions, L.L.C. and/or its suppliers. User's use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). User may not install or use any Software that is accompanied by or includes a License Agreement unless User first agrees to the License Agreement terms. For any Software not

accompanied by a License Agreement, Party Solutions, L.L.C. hereby grants User, a personal, non-transferable license to use the Software for viewing and otherwise using this Site in accordance with these terms and conditions, and for no other purpose. Please note that all Software, including without limitation all HTML code and Active X controls contained in this Site is owned by Party Solutions, L.L.C. and/or its suppliers and is protected by copyright laws and international treaty provisions. Any reproduction or Redistribution of the software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. Without

limiting the foregoing, copying or reproduction of the software to any other server or location for f

urther reproduction or redistribution is expressly prohibited. The software is warranted, if at all, only according to the terms of the License Agreement. User acknowledges that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the USA. User agrees to not export or re-export the Software, directly or indirectly,

to any countries that are subject to USA export restrictions.

Transfer

User may not transfer any of User's rights under this Agreement.

Termination

User acknowledges and agrees that Party Solutions, L.L.C. may terminate or deny User access to all

or part of this service without prior notice if User engages in any conduct or activities that TMF in its

sole discretion believes violate any of the terms and conditions, violate the rights of Party Solutions, L.L.C., or is otherwise inappropriate for continued access.
